IFC Legal Department (CLED)

IFC Legal is an in-house legal department with approximately 74 lawyers, 50% of whom are currently based in IFC offices around the world, with the rest in IFC headquarters in Washington D.C. IFC lawyers are currently located in our offices in Bogotá, Mexico City, Sao Paulo; Washington D.C.; London; Dubai, Istanbul, Vienna, Tbilisi; Cairo, Rabat, Dakar, Johannesburg, Nairobi; Beijing, Delhi, Hong Kong, Mumbai, and Singapore. The lawyers provide services in the offices in which they are based and to the more than 100 offices that IFC has worldwide. IFC Legal has a dual transactional and advisory role. IFC lawyers structure, negotiate, document, close and disburse new transactions, supervise IFC’s investment portfolio, and, when necessary, restructure transactions and enforce IFC's rights. IFC Legal also provides legal and policy advice to IFC's board, management, and client departments. We partner with our client departments in the delivery of IFC's program, and the development of new products, policies, and model documents.

We are seeking an experienced lawyer to support the knowledge management function within CLED, with a focus on working with the CLED Specimen Committee, as described in further detail below, as well as supporting CLED’s knowledge management and thought leadership efforts. The ET Consultant position would be based in IFC HQ (Washington DC), and will report to Chief Counsel, Legal Operations, and work with the Global Lead, Knowledge Management, the CLED KM team and other lawyers in the Legal Department as needed.

Role and Responsibilities

Support CLED Specimen Committee

Provide legal support to the CLED Specimen Committee to enhance specimen management, practice, and operations under the guidance of the Chair and Co-Chair of the Specimen Committee. Its responsibilities include: • Assisting in automation specimen, forms, and templates. • Assisting the CLED Specimen Committee members in streamlining the set of CLED specimens. • Working closely with CLED lawyers, research specific legal topics to inform specimen language, including to reflect market trends and practices, IFC policy implementation and changing business needs and developments. • Assisting CLED lawyers in developing new specimens, forms, and templates, as needed, as well as other guidance materials, such as primers and tip sheets to facilitate optimal use of specimens. • Disseminating knowledge and implementing ongoing specimen updates and changes as needed. • Coordinating with CLED lawyers and other stakeholders in harmonizing specimen documents with respect to content, access, and ownership, and avoiding duplication. • Tracking, organizing, and updating specimen repositories on a regular basis. • Overseeing and managing specimen websites to upload documents and ensure easy access and timely update. • Assisting CLED Specimen Committee in developing, formalizing, and implementing specimen process and procedures. • Serving as the point of contact for internal communications of specimen development and updates, and maintaining document logs in relation to the same; and • Assisting the Specimen Committee in organizing regular meetings and keeping minutes, notes and all specimen committee documents, and escalating matters for decision to the CLED Management Team.

Support CLED Knowledge Management

Provide legal support for knowledge management generally within CLED, including, under the guidance of the Global Lead for Knowledge Management: • Assisting in developing written guidance, in the form of primers, manuals, annotated form opinions or similar reference materials, that would be accessible to all CLED staff on all IFC (a) products and (b) legal documentation. • Assisting in the coordination of New Onboarding Trainings for CLED New Lawyers, and ensuring access to web page, material and webpages, and different trainings available to new staff. • Keeping up to speed with legal trends and skills, helping identify trainings opportunities for CLED staff, including lawyers, legal assistants, and ACS staff. • Supporting CLED Lawyers in implementing the Capacity Building Programs, Newsletters and communications to share knowledge with staff. • Working to make such guidance available to CLED and IFC staff using the IFC intranet. • Working with the subject matter experts, assist in preparing presentations to CLED staff on specific legal topics. Assisting in knowledge management activities generally for CLED and other responsibilities and tasks as assigned from time to time in relation to any of the foregoing.

Selection Criteria

• Degree in law. • 3-4 years of professional experience in law or finance, including experience in drafting and reviewing legal documentation, and coordinating or managing projects and innovative initiatives in the area of cross border financing and syndications. • Excellent interpersonal skills, with a passionate, positive attitude. • Excellent communications skills in English, ability to present both written and oral ideas clearly, concisely, and persuasively. • Excellent drafting and legal research skills. • Excellent problem solving and analytical skills, and attention to detail, and the willingness to assume multiple roles and tasks to meet changing business needs. • Excellent process and project management skills, with the ability to work independently, seeking guidance on complex issues from senior staff. • Ability to work well as a team member in a multi-cultural and multi-ethnic international organization environment. • Ability to work under time pressure and to juggle multiple tasks within tight deadlines. • Fully proficient in computer skills, particularly in using word processing software, information databases, intranet and internet services and resources. • Demonstrated commitment to core values, including excellence, mutual respect, collegiality, teamwork, diversity and inclusiveness, integrity, innovation, transparency, and accountability.
